WHAT DO YOU NEED TO KNOW BEFORE REGISTERING AN LLC AS FOREIGN FOUNDER?

  • If the foreign founder - a legal entity is the only one, it must have at least two founders (shareholders) in its composition.

  • The minimum authorized capital is 10,000 rubles and is paid within four months after registration. When paying for the authorized capital with property, it is necessary to conduct an assessment of the property with the involvement of an independent appraiser.

  • If the founders appoint a foreign director in the company, a work permit will be required. Theoretically, it is not necessary to obtain such permission, but it is better to have it in hand to avoid disputes with the Federal Migration Service.

HOW TO REGISTER AN LLC WITH A FOREIGN FOUNDER

What is a Private Limited Company?

1. FOREIGN FOUNDER - LEGAL ENTITY

  • A notarized translation of an extract from the trade register will be required.

  • An application for registration of an LLC is filled out using form P11001, which indicates all the information about the company.

  • The head of the foreign company certifies this application and the power of attorney to a notary. Our specialists, acting on the basis of a power of attorney, register the LLC within 5 working days.


2. FOREIGN FOUNDER - INDIVIDUALS

  • A standard set of documents is required, as well as a notarized translation of a foreign citizen's passport.

  • If a citizen lives outside the Russian Federation, information about his place of residence for paperwork can be obtained from his words.

Otherwise, registration of an LLC with a foreign founder-an individual-follows the same procedure as for a legal entity.

IF A FOREIGN FOUNDER OF AN LLC CANNOT ARRIVE IN THE RUSSIAN FEDERATION

If foreign founders are not located on the territory of the Russian Federation and cannot arrive to certify the application:

  • Sign the application on Form 11001 and have it certified by the consulate. It's even better if this institution has a Russian notary.

  • Sign the application and have it certified by a foreign notary. In this case, it must also be certified with an apostille and translated into Russian.
